PART B — General Terms and Conditions

Applies to all Organisations and Users of the Platform. Here, “You or Your” means the Organisation or User accessing or using the Platform, as applicable.

Platform Protection & TEL Discretion

TEL Connect is a platform that facilitates introductions and opportunities between Organisations and Users. TEL is not a party to any agreement entered into between users of the platform and accepts no responsibility for the performance, quality, legality, suitability or outcome of any project, engagement or commercial relationship.

TEL reserves the right, at its sole discretion, to refuse, suspend, remove or terminate any user account, project, content or organisation where it reasonably believes that continued use of the platform may:

  1. breach these Terms and Conditions;
  2. breach any applicable law, regulation or professional guidance;
  3. compromise patient safety or public trust;
  4. expose TEL to legal, regulatory or reputational risk;
  5. involve fraudulent, misleading or inappropriate activity; or
  6. otherwise, be inconsistent with the purpose, values, or integrity of TEL Connect.

TEL may investigate suspected breaches of these Terms, request supporting information from users and take any action it reasonably considers necessary to protect the platform, its users and its reputation.

All agreements entered into through the platform remain solely between the relevant Organisation and User.

Platform Access, Use, and Project Approval

TEL provides access to its Platform to enable Organisations to connect with healthcare professionals and other eligible individuals for product sampling, testing, feedback activities and other engagement opportunities.

The Platform also facilitates consultancy projects, advisory boards, surveys, research, content creation (including social media), speaking opportunities and other paid opportunities between Organisations and Users.

Organisations are responsible for the accuracy of all project descriptions, briefs and claims. TEL may reject, edit or remove any project that it reasonably considers to be misleading, unlawful or unsuitable. TEL does not guarantee that a project will receive applications, participation or engagement.

TEL acts solely as an intermediary platform provider and does not manufacture, supply, endorse, test or verify any products made available by an Organisation.

TEL may facilitate communication between the parties but is not responsible for resolving contractual disputes between Organisations and Users.

Specific terms relating to project approval, withdrawal, cancellation and content usage rights are set out in Part D (Brand & Organisation Terms and Conditions) and Part C (Healthcare Professional Terms and Conditions), as applicable to the party using the Platform.

Fees

Fees applicable to use of the Platform are set out in Part D (Brand & Organisation Terms and Conditions) and Part C (Healthcare Professional Terms and Conditions), as applicable to the party using the Platform.

Intellectual Property

All intellectual property rights in the Platform, including its design, software, content, documentation, branding, logos, graphics, templates, functionality, and underlying technology, are owned by or licensed to us and are protected by applicable intellectual property laws.

By using the Platform, you are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for its intended purpose and in accordance with these Terms.

You must not copy, reproduce, modify, distribute, create derivative works from, reverse engineer, decompile, disassemble, sell, licence or otherwise exploit any part of the Platform except where expressly permitted by law or with our prior written permission.

You retain ownership of any content or information that you upload to the Platform. By submitting such content, you grant us the rights necessary to host, store, process, display and use that content solely for the purpose of providing and improving the Platform and delivering the services you have requested.

Nothing in these Terms transfers ownership of any intellectual property rights to you.

Confidentiality

Confidential Information

During your use of the Platform, you may have access to information which is confidential, commercially sensitive or proprietary (“Confidential Information”).

Confidential Information includes, but is not limited to:

  1. information relating to other users of the Platform;
  2. participant identities and participation details;
  3. business plans, commercial strategies, pricing, financial information and marketing information;
  4. product information, research, development activities, testing programmes and campaign details;
  5. technical information relating to the Platform, including software, systems, security arrangements, algorithms, processes and documentation;
  6. intellectual property, trade secrets, know-how and proprietary methodologies;
  7. information identified as confidential or which would reasonably be considered confidential by its nature; and
  8. any information disclosed in circumstances giving rise to an obligation of confidence.

Confidentiality Obligations

You agree that you will:

  1. keep all Confidential Information strictly confidential;
  2. use Confidential Information solely for the purposes of using the Platform in accordance with these Terms;
  3. not disclose Confidential Information to any third party except where authorised by us or required by law;
  4. take all reasonable steps to prevent unauthorised access to or disclosure of Confidential Information;
  5. restrict access to Confidential Information to those individuals who have a legitimate need to know and who are subject to appropriate confidentiality obligations; and
  6. promptly notify us if you become aware of any unauthorised disclosure, misuse or loss of Confidential Information.

Permitted Disclosures

Nothing in these Terms prevents disclosure of Confidential Information where disclosure is:

  1. required by applicable law;
  2. required by a court of competent jurisdiction;
  3. required by a regulatory authority or professional body;
  4. reasonably necessary for obtaining professional legal, financial or regulatory advice, provided appropriate confidentiality obligations apply; or
  5. expressly authorised by us in writing.

Where legally permitted, you agree to notify us before making any compulsory disclosure.

Exclusions

Confidential Information does not include information which:

  1. is or becomes publicly available through no breach of these Terms;
  2. was lawfully known to you before it was disclosed through the Platform;
  3. is lawfully obtained from a third party without restriction; or
  4. is independently developed without reference to Confidential Information obtained through the Platform.

Platform Information

You acknowledge that the Platform contains confidential business information belonging to us and other users.

Unless expressly authorised, you must not:

  1. copy or reproduce confidential information;
  2. download or extract information for external use;
  3. scrape, harvest or systematically collect Platform data;
  4. disclose commercially sensitive information to competitors or other third parties;
  5. use information obtained through the Platform for any purpose unrelated to your authorised use of the Platform; or
  6. attempt to identify anonymised or aggregated information.

Security of Confidential Information

You agree to implement reasonable administrative, technical and organisational measures to safeguard Confidential Information against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or unauthorised access.

You remain responsible for maintaining the security of any devices, accounts or systems used to access the Platform.

Return or Deletion

Upon request by us, or upon termination of your account where applicable, you shall promptly cease using Confidential Information and securely return, delete or destroy any Confidential Information in your possession or control unless retention is required by law.

Nothing in this clause prevents us from retaining information where required for legal, regulatory, audit or legitimate business purposes.

Survival

Your confidentiality obligations continue after your access to the Platform ends and shall remain in force until the relevant Confidential Information lawfully enters the public domain or until those obligations otherwise cease under applicable law.

Campaign Confidentiality

Where you participate in a Campaign, you acknowledge that Campaign materials, product information, testing protocols, feedback, results, discussions, documentation and any associated commercial or technical information may be confidential.

Unless expressly authorised in writing or required by law, you must not:

  1. disclose the existence or details of a Campaign;
  2. share Campaign materials with any third party;
  3. publish or discuss Campaign information on social media, online forums or other public channels;
  4. use Campaign information for any purpose outside the relevant Campaign; or
  5. disclose product performance, testing outcomes or research findings before they have been publicly released or otherwise authorised for disclosure.

These obligations continue after the Campaign has concluded and after your use of the Platform has ended.

Data Protection

We are committed to protecting your personal information and processing it responsibly.

Any personal data collected through your use of the Platform will be processed in accordance with our Privacy Notice and applicable data protection legislation.

By using the Platform, you acknowledge that certain personal information may be collected, stored and processed where necessary to provide our services, comply with legal obligations, improve the Platform, maintain security, and protect our legitimate business interests.

You are responsible for ensuring that any personal data you provide through the Platform is accurate, complete and up to date.

Where you upload personal data relating to other individuals, you confirm that you have the necessary authority and lawful basis to do so.

Information Security

We implement reasonable technical and organisational measures designed to protect the Platform and the information processed through it against unauthorised access, disclosure, alteration, loss or destruction.

You are responsible for maintaining the confidentiality of your account credentials and must take reasonable steps to prevent unauthorised access to your account.

You must notify us immediately if you become aware of any unauthorised access to your account or any suspected security incident affecting the Platform.

You must not attempt to compromise, interfere with, disrupt, test or bypass the security of the Platform or any systems connected to it.

We reserve the right to suspend access where we reasonably believe this is necessary to protect the security or integrity of the Platform.

Limitation of Liability

TEL shall not be liable for any indirect, consequential or economic loss arising from or connected with any Campaign, product testing activity or participant feedback.

To the fullest extent permitted by law, TEL excludes all liability arising from:

  1. use of the Organisation’s products
  2. participant reactions or outcomes
  3. regulatory issues relating to products
  4. reliance on participant feedback; or
  5. any act or omission of Participants.

The Organisation and/or User shall indemnify and keep indemnified TEL against any claims, losses, liabilities, damages, costs or regulatory action arising from:

  1. The Organisation’s products
  2. any breach of law by the Organisation and/or User; or
  3. any claim brought by a Participant or third party relating to the Organisation’s products or Campaign activities.

Independent Relationship

Nothing in these Terms creates any partnership, agency, employment relationship or joint venture between the parties.

Each party acts as an independent business undertaking and independent controller for the purposes of applicable data protection legislation.

Term

These Terms apply from the moment you first access or use the Platform and will continue to apply for as long as you continue to use the Platform or maintain an account with us.

Certain provisions, including those relating to intellectual property, confidentiality, liability, dispute resolution and data protection, will continue to apply after your account has been closed or these Terms have otherwise ended.

Termination

TEL may suspend or terminate platform access immediately where it reasonably believes that a Campaign, product or activity may:

  1. breach of applicable law
  2. create reputational risk
  3. endanger Participants; or
  4. expose TEL to regulatory or legal liability.

Upon termination, all outstanding fees owed to TEL shall immediately become due and payable.

Effects of Termination

If your access to the Platform ends for any reason, your right to use the Platform will immediately cease.

We may disable or remove your account where permitted by these Terms or where required by law.

You remain responsible for any obligations that arose before termination, including payment of any outstanding fees where applicable.

We may retain certain information where required to comply with legal obligations, resolve disputes, enforce these Terms or protect our legitimate interests.

Termination does not affect any rights or obligations that are intended to survive termination.

Force Majeure

We shall not be responsible for any failure or delay in providing the Platform or any services where such failure or delay results from circumstances beyond our reasonable control.

These circumstances include, but are not limited to, natural disasters, pandemics, acts of government, war, terrorism, industrial action, power failures, telecommunications outages, failures of third-party service providers, cyber-attacks, or other events beyond our reasonable control.

Where reasonably practicable, we will take appropriate steps to minimise disruption and restore services as soon as possible.

Notices

Where we are required to provide notice to you under these Terms, we may do so by email, through your account, by notification within the Platform, or by publishing information on our website.

Notices sent electronically will be deemed received at the time they are transmitted unless we receive notification that delivery has failed.

You are responsible for ensuring that your contact details remain accurate and up to date.

Assignment

You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without our prior written consent.

We may assign, transfer or subcontract any of our rights or obligations under these Terms at any time, provided that doing so does not materially reduce your rights under these Terms.

Entire Agreement

These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Platform.

They replace any previous agreements, discussions, understandings or representations relating to the Platform.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Severability

If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the provision shall be treated as removed without affecting the validity or enforceability of the remaining provisions.

Waiver

Our failure or delay in exercising any right or remedy available under these Terms shall not constitute a waiver of that right or remedy.

Any waiver will only be effective if confirmed by us in writing and shall apply only to the specific circumstances for which it is given.

Governing Law and Jurisdiction

These Terms are governed by and shall be interpreted in accordance with the laws of England and Wales.

You agree that any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.

Dispute Resolution

If you have a concern or complaint regarding the Platform, we encourage you to contact us in the first instance so that we can attempt to resolve the matter informally.

If a dispute cannot be resolved through informal discussions, either party may pursue any rights or remedies available under applicable law.

Nothing in these Terms prevents either you or us from seeking urgent legal relief where necessary to protect legal rights or prevent immediate harm.

PART C — Healthcare Professional Terms and Conditions (TEL Connect)

Additional terms that apply to Users, including healthcare professionals, using TEL Connect — on top of the Key Definitions and Part B (General Terms and Conditions) above. Here, “You or Your” means the User registering for or using the Platform.

General

TEL provides access to its Platform to enable registered Users, including healthcare professionals and other eligible professionals, to discover and apply for relevant professional opportunities offered by Brands, Product Companies and other Organisations.

Opportunities available through TEL Connect may include consultancy projects, advisory boards, surveys, research, product testing and feedback, content creation (including social media content), speaking opportunities and other paid professional activities.

Users may browse and apply for opportunities for which they meet the stated eligibility criteria. Applying for a project does not guarantee that a User will be selected or appointed.

Users are responsible for ensuring that all information provided within their TEL profile and any project application is accurate, complete and up to date, including their profession, qualifications, experience and any other information relevant to their eligibility for an opportunity.

Users must only apply for or accept projects that they are appropriately qualified, experienced and able to undertake.

TEL does not guarantee that a User will be selected for any project, receive a minimum number of opportunities or earn any particular amount through the Platform.

Applications

Users may apply for opportunities displayed through TEL Connect where they meet the eligibility requirements stated within the project listing.

When applying, Users may be required to provide information about their professional experience, suitability, availability, proposed approach or other information relevant to the project.

Users must provide accurate and truthful information within their applications and must not misrepresent their qualifications, experience, professional registration, audience, social media following or other relevant credentials.

The Organisation offering the project is responsible for deciding which applicant or applicants it wishes to appoint unless the project listing expressly states that TEL will undertake the selection process.

If an Organisation does not respond to an application within 7 days, the application may automatically be removed from the Organisation’s active applicant list so that Users are not left with applications remaining open indefinitely.

Accepting a Project

If a User is selected for a project, they will be given the opportunity to review and accept the appointment through the Platform.

Users should review the project brief, deliverables, payment, deadlines, usage rights and any other relevant requirements before accepting.

Once a User accepts the project, a binding agreement in respect of that project is formed between the User and the Organisation.

By accepting the project, the User agrees to undertake the work in accordance with the agreed project requirements.

Project Completion and Approval

Once the User has completed the agreed work and provided all required deliverables, they should mark the project as complete through the Platform.

The Organisation will then have 7 days to approve the completed project or raise a genuine issue relating to the agreed scope or deliverables.

If the Organisation does not take action within this period, the project will automatically be deemed approved and any payment due to the User will be released in accordance with the applicable payment terms.

Users must not mark a project as complete where material elements of the agreed work remain outstanding.

Withdrawing an Application or Cancelling a Project

A User may withdraw an application at any time before they have accepted an appointment to the project.

Once a User has accepted a project, they are expected to complete the agreed work and should only cancel in exceptional circumstances or where cancellation has been mutually agreed with the Organisation.

If a User becomes unable to complete an accepted project due to illness, emergency or another exceptional circumstance, they should notify TEL and the Organisation as soon as reasonably possible.

Where work has already commenced before a project is cancelled, any payment due will be determined in accordance with the Payment and Project Cancellation section of the Brand & Organisation Terms and Conditions and the work completed.

Changes to an Accepted Project

An Organisation may not materially change the agreed scope, deliverables, payment, usage rights or deadlines after a User has accepted a project without the User’s agreement.

Users are not required to undertake additional work or accept materially different terms from those originally agreed.

If an Organisation requests a significant change to an accepted project, the User should agree any revised terms before undertaking the additional or amended work.

Professional Responsibilities

Users remain responsible for their own professional judgement and for complying with the professional standards, codes of conduct, regulatory requirements and guidance applicable to them.

Users must not undertake work through TEL that would require them to act outside their professional scope of practice or breach an applicable professional or regulatory obligation.

Users must provide their genuine professional opinion when participating in research, testing, feedback, consultancy or other projects.

A User will never be required to provide a positive review, recommendation or endorsement as a condition of receiving payment, products or other benefits through TEL.

Where a User believes that a project brief or request is inappropriate or conflicts with their professional obligations, they should decline the request and may report the matter to TEL.

Content Creation and Usage Rights

Where a User applies for a content creation opportunity, the project listing will specify the proposed usage rights for the content.

These may include organic social media use, paid advertising, the duration of the licence, the platforms on which the content may be used and whether whitelisting is required.

Users should review these rights before applying for and accepting the project.

By accepting a content creation project, the User agrees to grant the Organisation the usage rights expressly stated within the agreed project.

Unless expressly agreed otherwise, ownership of the User’s original content remains with the User and the Organisation receives a licence to use that content only in accordance with the agreed usage rights.

Any extension of the agreed usage period, addition or extension of paid advertising, whitelisting, use on additional platforms or other material expansion of the agreed usage rights requires the User’s agreement and may be subject to an additional fee.

Users should notify TEL if they become aware that their content is being used materially outside the rights agreed through the Platform.

Communication and Platform Circumvention

Users should communicate with Organisations through TEL’s built-in messaging system in relation to projects wherever reasonably possible.

Users must not deliberately move work with an Organisation introduced to them through TEL outside the Platform for the purpose of avoiding TEL’s fees, payment processes or other Platform requirements.

If an Organisation introduced through TEL approaches a User directly regarding additional paid work, the User should arrange that work through TEL unless otherwise authorised by TEL.

Deliberate attempts to circumvent the Platform may result in restriction, suspension or termination of the User’s account.

Professional Conduct

Users must communicate with Organisations, TEL and other Platform Users professionally and respectfully.

TEL reserves the right to restrict, suspend or terminate an account where a User behaves inappropriately, provides materially false or misleading information, breaches these Terms or otherwise misuses the Platform.

TEL’s Role

TEL provides the Platform through which Users can discover, apply for and undertake professional opportunities with participating Organisations.

Unless expressly stated otherwise, TEL is not the User’s employer and registering with or undertaking projects through TEL does not create an employment relationship between TEL and the User.

TEL may facilitate communication between a User and an Organisation where an issue arises. However, TEL is not a party to the individual project agreement between the User and the Organisation and is not responsible for resolving contractual disputes between them, except where expressly stated otherwise in these Terms.

Participation in TEL does not require a User to recommend, prescribe, endorse or promote any Brand, Organisation, product or service.

Professional Status

The User confirms that they hold any licences, registrations, qualifications or professional memberships required for their profession and for any activities they undertake through the Platform.

The User is responsible for ensuring that all professional information provided to TEL, including qualifications, registration status, profession and experience, is accurate and up to date.

The User must maintain any professional registration, qualification, insurance or other requirement necessary for the projects they undertake through the Platform and must notify TEL promptly of any material change to their professional status that may affect their eligibility to use the Platform or participate in a project.

The User must not misrepresent their qualifications, professional registration, experience, employment status or scope of practice.

Professional Independence

Nothing within the Platform requires a User to recommend, prescribe, endorse, promote or use any particular product, service, Brand or Organisation.

The User must maintain their professional independence at all times.

Any professional opinion, feedback, recommendation or other contribution provided by the User through the Platform must reflect their genuine professional judgement and experience.

Where participation relates to patient care, all professional and clinical decisions remain the responsibility of the User and must be made independently, in accordance with their professional obligations and in the best interests of their patients.

Payment, gifted products or any other benefit received through TEL must not influence or be conditional upon the User providing a positive opinion, recommendation, review or endorsement.

Clinical and Professional Responsibility

The User remains solely responsible for their own professional judgement and for any clinical decisions, assessments, recommendations, advice or treatment they personally provide in the course of their professional practice.

Nothing provided through the Platform, by TEL, or as part of an Organisation’s project brief constitutes clinical instruction or replaces the User’s independent professional judgement.

The User is responsible for ensuring that any project or activity undertaken through the Platform complies with their:

  • professional registration and applicable code of conduct;
  • scope of practice and professional competence;
  • employer policies and contractual obligations, where applicable;
  • professional indemnity or insurance requirements, where applicable;
  • applicable regulatory and professional guidance; and
  • applicable advertising, disclosure and promotional requirements.

The User must not apply for or accept a project that requires them to work outside their professional competence, scope of practice or applicable professional obligations.

Where a User believes that a project, brief or request from an Organisation would require them to breach a professional, regulatory, clinical or ethical obligation, they must not undertake that activity and should notify TEL where appropriate.

Regulatory Compliance

The User must comply with all professional standards, ethical obligations, codes of conduct, regulatory requirements and applicable legislation relevant to their profession and to any activity undertaken through the Platform.

The User remains responsible for ensuring that their participation in any project complies with any applicable professional, regulatory, employer or advertising requirements.

Conflicts of Interest

The User must disclose any actual or potential conflict of interest where required by applicable law, professional guidance, their employer or TEL’s Platform policies.

Where a conflict of interest may affect, or reasonably be perceived to affect, the User’s professional independence or ability to participate objectively in a project, the User must disclose this before accepting or continuing with the project.

Independent Relationship (User)

The User participates in projects through the Platform as an independent contractor and not as an employee, worker, partner or agent of TEL.

Nothing in these Terms, registration with TEL or participation in a project creates an employment relationship between TEL and the User.

The User is responsible for their own tax, National Insurance and any other financial or legal obligations arising from payments received through the Platform, where applicable.

TEL acts as an intermediary Platform provider connecting Users with Organisations and does not guarantee the outcome of any project, engagement or professional opportunity.

Unless expressly stated otherwise in these Terms, TEL is not a party to the individual agreement formed between the User and an Organisation in relation to a project.

Feedback

Where the User provides feedback, reviews, opinions or other professional insight regarding a product or service, that feedback must be honest and based on the User’s genuine experience, knowledge and professional opinion.

The User must not provide misleading or deliberately inaccurate feedback and is not required to provide positive feedback, a recommendation or an endorsement as a condition of participating in a project.

The User acknowledges that feedback may be analysed and used in anonymised or aggregated form for research, reporting, product development, service improvement or other purposes described within the relevant project.

Any use of identifiable User feedback, including the User’s name, image, professional title or attributable quotation, will be subject to the permissions and usage rights agreed for the relevant project.

Data Protection (User)

Independent Controller Status

The User acknowledges that, in relation to their professional practice and any Personal Data they process through the Platform, they act as an independent Controller unless expressly stated otherwise.

The User remains solely responsible for ensuring that their processing activities comply with applicable Data Protection Legislation and their professional obligations.

Patient Information

Users must not upload, share or disclose any information that could identify a patient, client, service user or any other individual through the Platform unless expressly authorised by law and required for the relevant activity.

This includes, but is not limited to, names, addresses, dates of birth, NHS numbers, photographs, videos, medical records, or any combination of information that could reasonably identify an individual.

Where case studies, examples or professional experiences are shared, they must be fully anonymised so that no individual can be identified, directly or indirectly.

Wherever possible, identifiable information must not be uploaded to the Platform. Any information shared should be anonymised or pseudonymised before being submitted.

Users remain responsible for complying with all applicable confidentiality, data protection and professional obligations when using the Platform.

Use of Platform Information

Any information accessed or obtained by the User through the Platform must only be used for legitimate purposes connected with the User’s participation in the Platform or delivery of an agreed project.

The User must not:

  • copy or use participant, Organisation or other User information for unrelated purposes;
  • create independent databases using information obtained through the Platform;
  • disclose confidential or commercially sensitive information to unauthorised third parties;
  • use information obtained through the Platform for unsolicited marketing or other unauthorised purposes; or
  • attempt to identify individuals from information that has been anonymised or aggregated.

Images and Video

Where the User submits photographs, videos or other visual content through the Platform, the User must ensure that they have the necessary rights, permissions and consents to submit and use that content.

The User must ensure that any photographs or videos created or submitted in a professional or healthcare context comply with applicable law, professional guidance, employer requirements and patient confidentiality obligations.

The User must not upload identifiable patient information, images or recordings unless they have a lawful basis and all necessary permissions or consents to do so.

Data Subject Rights

Where the User processes Personal Data independently in connection with a project, the User remains responsible for complying with applicable data protection requirements and responding appropriately to requests relating to Personal Data for which they are responsible.

Retention

The User must retain Personal Data obtained in connection with a project only for as long as reasonably necessary for the relevant lawful and professional purpose.

Where Personal Data is no longer required, the User should securely delete or appropriately anonymise it in accordance with applicable data protection requirements and any relevant professional or employer policies.

Information Security

The User must take reasonable and appropriate technical and organisational measures to protect information accessed, received or processed through the Platform.

Depending on the nature and sensitivity of the information, such measures may include:

  • using secure devices;
  • appropriate password protection;
  • multi-factor authentication where available;
  • encryption where appropriate;
  • secure storage of information;
  • appropriate and secure disposal of information; and
  • taking reasonable steps to prevent unauthorised access by third parties.

Security Incidents (User)

The User must notify TEL promptly if they become aware of any actual or suspected data breach, security incident or unauthorised access that may affect the Platform or information obtained through it.

The User must provide reasonable cooperation with TEL in relation to the investigation, management or resolution of any such incident.

Confidentiality (User)

The User acknowledges that, through participation in the Platform, they may have access to confidential or commercially sensitive information relating to Organisations, other Users, participants, projects, products and the operation of the Platform.

The User must keep such information confidential and must not disclose, copy, distribute or use it other than as reasonably necessary for their legitimate participation in the Platform or completion of an agreed project.

This obligation does not apply where disclosure is:

  • required by law;
  • required by a regulatory or professional authority;
  • reasonably necessary for the User to comply with their professional obligations; or
  • authorised in writing by TEL or, where appropriate, the Organisation to which the confidential information relates.

The User’s confidentiality obligations continue after their participation in a project or use of the Platform has ended.

Promotional Activities

Where the User undertakes promotional or content creation activities through the Platform, they must comply with all applicable advertising requirements, healthcare regulations, professional standards and disclosure requirements.

Where required, the User must clearly disclose that content is paid, sponsored, gifted or otherwise incentivised in accordance with applicable advertising rules and professional guidance.

Intellectual Property (User)

The User retains ownership of any original educational materials, professional materials or other intellectual property they create and submit through the Platform, unless otherwise expressly agreed as part of a specific project.

The User grants TEL a limited, non-exclusive licence to host, store, reproduce and display such content only to the extent reasonably necessary to operate the Platform, administer the relevant project or provide TEL’s services.

Where content is created for an Organisation as part of a paid project, any additional usage rights granted to that Organisation will be governed by the usage rights agreed for that specific project.

Project Fee

The fee, honorarium or other remuneration offered for a project is set by the Organisation. TEL may display a recommended minimum budget based on the deliverables and usage rights required, but the final amount offered is determined by the Organisation, not TEL.

The project fee will be clearly displayed within the project listing before the User applies, and confirmed again at the point of acceptance. The User should review the fee, together with the deliverables, usage rights, deadlines and any other listed requirements, before accepting a project.

By accepting a project, the User confirms that they have read and agreed to the fee offered and that it fairly reflects the work, time and expertise required. Once accepted, the fee forms part of the binding agreement between the User and the Organisation and may not be changed by either party except by mutual agreement, in accordance with the Changes to an Accepted Project section above.

Payment will be released in accordance with the Project Completion and Approval section above.

Non-Delivery and Payment Disputes

Where a User does not deliver the agreed deliverables, or delivers work that materially fails to meet the agreed scope, the Organisation may withhold or refuse the fee for that project, in accordance with the Project Completion and Approval section above.

Where only part of the agreed work has been delivered, payment will be considered on a case-by-case basis, taking into account the work actually completed and the agreed project fee.

TEL will support both parties in resolving a deliverables dispute as quickly as reasonably possible, including by facilitating communication between the User and the Organisation. TEL is not responsible for resolving the dispute itself and is not liable for any fee withheld, reduced or disputed under this clause.

Insurance (User)

Where required by the nature of the User’s profession or the activities undertaken through the Platform, the User is responsible for maintaining appropriate professional indemnity insurance or other relevant insurance cover.

The User is responsible for ensuring that their insurance provides appropriate cover for the activities they agree to undertake through the Platform.

Indemnity (User)

The User agrees to indemnify TEL against claims arising from their professional conduct, regulatory breaches, breach of these Terms, or any claim brought by an Organisation, Participant or third party relating to the User’s involvement in a Campaign or project.

PART D — Brand & Organisation Terms and Conditions (TEL Connect)

Additional terms that apply to Brands, Organisations and Product Companies using TEL Connect — on top of the Key Definitions and Part B (General Terms and Conditions) above. Here, “You or Your” means the Brand, Organisation or Product Company registering for or using the Platform.

General

TEL provides access to its Platform to enable Product Companies and other organisations to connect with Users for product sampling, product testing, feedback activities and other engagement opportunities.

The Platform also facilitates consultancy projects, advisory boards, surveys, research, content creation (including social media content), speaking opportunities and other paid opportunities between organisations and Users.

The Product Company or organisation is solely responsible for the accuracy, legality, regulatory compliance and suitability of all project descriptions, briefs, claims, instructions and materials submitted through the Platform. TEL reserves the right to reject, edit, suspend or remove any project or content that it reasonably considers to be misleading, unlawful, non-compliant, inappropriate or otherwise unsuitable for the Platform.

TEL does not guarantee that any project, opportunity or activity will receive applications, responses, participation or engagement from Users.

Project Completion and Approval

Where a paid project is completed through the Platform, once a User marks the project as complete, the organisation will have 7 days to approve the completed work or raise a genuine issue relating to the agreed scope or deliverables.

If the organisation takes no action within this 7-day period, the project will automatically be deemed approved and any payment due to the User will be released in accordance with the applicable payment terms.

Applications

If an organisation does not respond to a User’s application within 7 days, the application may automatically be removed from the organisation’s active applicant list. This is intended to prevent applications and projects from remaining open indefinitely.

Project Withdrawal and Cancellation

Product Companies and Organisations may withdraw a project at any time before a User has been appointed to or accepted the project. Where applications have already been received, affected applicants will be notified that the project has been withdrawn.

Once a User has been appointed to or has accepted a project, a binding agreement in respect of that project is formed between the Organisation and the User. From this point, the project may only be cancelled in exceptional circumstances or by mutual agreement between the parties.

Where work has already commenced prior to cancellation, any payment due to the User will be determined in accordance with the Payment and Project Cancellation section below and the agreed scope of work.

Changes to an Agreed Project

Once a project has been accepted, the organisation may not materially change the agreed scope of work, deliverables, payment, usage rights or deadlines without the User’s agreement.

Where significant changes are required, the parties should agree revised terms or, where appropriate, a new or revised project should be created through the Platform.

TEL’s Role

TEL acts solely as an intermediary Platform provider. TEL does not manufacture or supply products made available by Product Companies or organisations through the Platform.

While TEL may facilitate product sampling, product testing, feedback, research and other engagement activities, TEL does not independently test or verify the safety, efficacy, quality, regulatory compliance or claims relating to any product. Responsibility for the product, its regulatory compliance and any associated claims remains with the relevant Product Company or organisation.

TEL may facilitate communication between organisations and Users where questions, concerns or issues arise. However, TEL is not a party to the individual agreement formed between an organisation and a User in respect of a project and is not responsible for resolving contractual disputes between them, except where expressly stated otherwise in these Terms.

Content Usage Rights

Unless otherwise stated within the relevant project listing or agreed in writing between the parties, all content created through TEL Connect is licensed in accordance with the usage rights selected by the Organisation at the time the project is posted.

When creating a project, Organisations must select the intended usage rights, including whether the content will be used organically or for paid advertising, the required licence duration, and whether whitelisting is required.

TEL may automatically calculate or display a recommended minimum budget based on the selected deliverables and usage rights and may provide guidance or warnings where a proposed budget falls below the recommended level. Such guidance does not prevent a User from agreeing different commercial terms where permitted through the Platform.

Organisations are responsible for ensuring that the usage rights selected accurately reflect their intended use of the content.

Any use of content beyond the rights originally agreed — including an extension of the licence period, the addition or extension of paid advertising, whitelisting, use on additional platforms or any other material change in usage — must be agreed with the User in writing before that additional use takes place. Any applicable additional fees must also be agreed and paid.

Content must not be materially edited, altered, adapted or repurposed for a different campaign, product, platform or purpose outside the agreed usage rights without the User’s prior written agreement.

Communication and Platform Circumvention

Organisations must not engage, contract with, solicit or attempt to move a User introduced through TEL outside of the Platform for the purpose of avoiding TEL’s fees, payment processes or other Platform requirements.

Communication relating to a project should take place through TEL’s built-in messaging system unless alternative communication has been authorised by TEL or is reasonably necessary for the delivery of the agreed project.

Where an Organisation wishes to undertake further work with a User originally introduced through TEL, that work must be arranged through the Platform unless otherwise agreed in writing by TEL.

Any deliberate attempt to circumvent the Platform may result in the suspension or termination of the Organisation’s access to TEL. TEL also reserves the right to recover any fees or losses reasonably incurred as a result of such circumvention.

Professional Conduct

Organisations must communicate and engage with Users professionally and respectfully at all times and must not engage in abusive, discriminatory, threatening, harassing or otherwise inappropriate behaviour.

TEL reserves the right to restrict, suspend or terminate access to the Platform where an Organisation behaves inappropriately, breaches these Terms or otherwise misuses the Platform.

Platform and Participation

TEL facilitates introductions and participation opportunities between Organisations and Users through its Platform.

Unless expressly agreed otherwise in writing, TEL does not guarantee:

  1. any minimum number of applicants or participants;
  2. any particular level of User participation or engagement;
  3. any particular product testing, research or feedback outcome;
  4. any commercial, marketing or sales result; or
  5. the nature, quality, accuracy or favourability of feedback provided by Users.

Feedback, opinions and other responses provided by Users represent the views and experiences of those individual Users. TEL does not guarantee that feedback will be positive or produce any particular outcome.

The Product Company or Organisation acknowledges that TEL’s role is to facilitate introductions, opportunities and Platform services and that individual Users remain responsible for the feedback, opinions, content and services they provide, subject to these Terms.

Eligibility

By registering as a Brand or Organisation, the individual completing registration confirms that they are authorised to act on behalf of the organisation they represent and have sufficient authority to bind that organisation to these Terms.

The Organisation is responsible for ensuring that all projects, activities and work requested through the Platform are appropriate and comply with all applicable legal, professional, regulatory and advertising requirements.

Regulatory Compliance

The Organisation is solely responsible for ensuring that all products, services, claims, project materials, promotional materials, instructions and information it provides or makes available through the Platform comply with all applicable laws, regulations, professional standards, advertising requirements and relevant industry guidance.

Users must not be asked, encouraged or required to undertake any activity that would cause them to act outside their applicable professional codes of conduct, regulatory obligations, scope of practice or relevant professional guidance.

TEL reserves the right to reject, suspend or remove any project or material that it reasonably considers may breach these requirements. TEL may also restrict, suspend or terminate Platform access where an Organisation repeatedly or materially fails to comply with these obligations.

Product Safety

The Product Company or Organisation remains solely responsible for the quality, safety, manufacture, labelling, supply, distribution and regulatory compliance of any products made available in connection with the Platform.

Nothing in these Terms or the operation of the Platform transfers responsibility for product safety, product recalls, adverse event reporting, product complaints, regulatory notifications or any other legal or regulatory obligations from the Product Company or Organisation to TEL or any User.

Where TEL or a User becomes aware of and reports a potential adverse event, product complaint or safety concern, responsibility for assessing, investigating, recording and reporting that information to any relevant authority remains with the Product Company or Organisation in accordance with its applicable regulatory obligations.

Marketing Materials and Intellectual Property

The Organisation warrants that it owns, or has obtained all necessary rights, permissions, consents and licences to use and provide any trademarks, logos, images, documents, copy, promotional materials and other intellectual property uploaded or otherwise made available through the Platform.

The Organisation grants TEL a limited, non-exclusive licence to host, reproduce, use and display those materials solely to the extent reasonably necessary to operate the Platform and deliver, administer or promote the relevant project or service.

The Organisation remains responsible for ensuring that any materials supplied to Users are accurate, lawful and suitable for their intended purpose.

Engagement with Users

The Organisation acknowledges that Users operate independently and retain responsibility for their own professional opinions, decisions and conduct.

Users are under no obligation to recommend, prescribe, endorse or promote the Organisation’s products or services, and participation in a project does not guarantee a positive recommendation, review, opinion or outcome.

Where a User is subject to professional or regulatory standards, the Organisation must not ask, encourage or incentivise them to act in a way that would breach those standards, their professional obligations or applicable guidance.

The Organisation must not improperly influence, pressure or incentivise a User in relation to their professional opinion, feedback, recommendation, review or other project outcome.

Any payment, product, gift or other benefit provided in connection with a project must relate to the legitimate work, time, expertise or participation required and must not be conditional upon the User providing a positive opinion, recommendation, endorsement or other predetermined outcome.

Data Protection (Organisation)

Independent Controller Status

The Organisation acknowledges and agrees that, unless expressly stated otherwise, it acts as an independent Controller in relation to any Personal Data it collects, receives or processes through its use of the Platform.

Nothing in these Terms creates a controller-to-processor relationship between the Organisation and TEL.

The Organisation remains solely responsible for determining the purposes and lawful basis for any processing it undertakes using information obtained through the Platform.

Compliance with Data Protection Law

The Organisation agrees to comply with all applicable Data Protection Legislation in connection with its use of the Platform.

This includes ensuring that the Organisation:

  • identify and document an appropriate lawful basis for processing;
  • where applicable, identify an appropriate Article 9 condition for processing Special Category Data;
  • provide clear and transparent privacy information to individuals;
  • maintain appropriate records of processing activities where required by law; and
  • comply with all applicable regulatory guidance.

Special Category Data

The Organisation must not collect, request or process Special Category Data through the Platform unless:

  • it is genuinely necessary for the relevant programme or campaign;
  • it has identified an appropriate lawful basis under Article 6 UK GDPR;
  • it has identified an appropriate Article 9 condition where required; and
  • such processing complies with all applicable legislation and professional guidance.

Use of Participant Information

Any Personal Data made available to the Organisation through the Platform must only be used for the specific purposes for which it was provided.

The Organisation must not:

  • use Personal Data for unrelated commercial activities;
  • sell Personal Data;
  • disclose Personal Data to unauthorised third parties;
  • create unrelated marketing databases;
  • use Personal Data for direct marketing unless independently authorised under applicable law; or
  • attempt to identify individuals from anonymised or aggregated information.

Images and Video

Where campaigns involve photographs, video recordings or other visual media, the Organisation agrees only to use such material for the purposes communicated to participants.

The Organisation must not publish, advertise or otherwise publicly use identifiable images or videos without any permissions or consents required by law.

International Transfers

Where the Organisation transfers Personal Data outside the United Kingdom, it is solely responsible for ensuring that appropriate lawful transfer mechanisms are implemented.

Data Subject Rights (Organisation)

The Organisation remains responsible for responding to requests from individuals relating to Personal Data for which it acts as Controller.

Retention (Organisation)

The Organisation agrees to retain Personal Data only for as long as necessary and to securely delete or anonymise information once it is no longer required.

Information Security (Organisation)

The Organisation agrees to implement and maintain appropriate technical and organisational security measures proportionate to the nature of the information it processes.

These measures should include, where appropriate:

  • multi-factor authentication;
  • encryption of Personal Data in transit and at rest;
  • secure password management;
  • role-based access controls;
  • malware protection;
  • secure disposal procedures;
  • regular access reviews; and
  • appropriate staff security training.

Security Incidents (Organisation)

The Organisation must notify TEL without undue delay if it becomes aware of any security incident or Personal Data Breach that may affect the Platform, Users, Participants or information shared through the Platform.

The Organisation agrees to cooperate with any reasonable investigation relating to such incidents.

Confidentiality (Organisation)

The Organisation acknowledges that, through its use of the Platform, it may obtain Confidential Information relating to TEL, Users, Participants, brands, organisations or other parties using or engaging with the Platform.

The Organisation agrees to:

  • keep all Confidential Information confidential;
  • use it only for authorised purposes;
  • restrict access to personnel who have a legitimate need to know;
  • protect it using appropriate security measures; and
  • not disclose it to any third party without lawful authority or TEL’s prior written permission.

These confidentiality obligations will continue after the Organisation’s account has been closed or its use of the Platform has otherwise ended.

Product Supply

The Organisation remains solely responsible for fulfilling orders, managing inventory, arranging delivery, handling returns and responding to customer enquiries relating to its products unless otherwise agreed.

TEL shall have no responsibility or liability in relation to the manufacture, performance, suitability, safety, efficacy or legality whatsoever of any products supplied by the Product Company.

Adverse Events

The Organisation is responsible for maintaining appropriate procedures for receiving, investigating and reporting product complaints, adverse events and safety concerns in accordance with applicable law.

Intellectual Property (Organisation)

The Organisation retains ownership of its intellectual property.

The Organisation grants TEL a non-exclusive licence to use its branding and materials solely for operating and promoting the Platform.

Fees

By using TEL, Organisations agree to pay all applicable fees associated with the Platform, including, but not limited to, subscription fees, booking fees, transaction fees and any other charges clearly notified through the Platform.

A TEL booking fee will be added to the total project cost when an Organisation selects a User and confirms the booking. The booking fee and total amount payable will be clearly displayed before payment is made and will be collected at the same time as payment for the project.

The TEL booking fee is non-refundable once a User has been selected and the booking has been confirmed, including where the project is subsequently cancelled by either party.

Organisations are responsible for setting budgets that are fair, reasonable and reflective of relevant industry standards and the expertise, qualifications and professional status of the Users they wish to engage. TEL may provide recommended minimum budgets based on the project requirements, deliverables and selected usage rights.

Payment and Project Cancellation

No payment will be taken from an Organisation when a project is initially published or while applications are being received.

Organisations may withdraw a project at any time before a User has been selected and the booking confirmed. Where applications have already been received, applicants will be notified that the project has been withdrawn.

Payment, including any applicable TEL booking fee, will become due when the Organisation selects a User and confirms the booking.

Once a User has been selected and the booking confirmed, a binding agreement is formed between the Organisation and the User. From this point, the project may only be cancelled in exceptional circumstances or by mutual agreement between the parties.

Once work has commenced, the Organisation will not automatically be entitled to a refund if the project is cancelled. Any cancellation before the agreed work has been completed will be considered on a case-by-case basis, taking into account the circumstances of the cancellation, the work already undertaken, any costs incurred and the amount of the agreed project fee that is reasonably payable to the User.

An Organisation may not cancel a project, withhold payment or request a refund because it subsequently changes the brief, scope, deliverables, requirements or direction of the project. Any material changes to the agreed project must be agreed by the User. Where significant changes are required, a revised agreement or new project should be created through the Platform.

Once a User has completed the agreed work and the Organisation has approved it, payment to the User is final and non-refundable.

Where a User marks a project as complete, the Organisation will have 7 days to approve the work or raise a genuine issue through the Platform. If the Organisation does not respond within this period, the work will automatically be deemed approved and payment will be released to the User. Once payment has been released following approval or deemed approval, the project payment is non-refundable.

TEL reserves the right to refuse, reject, suspend or request amendments to any project listing where, in its reasonable opinion:

  • the project requirements are misleading, unreasonable or incomplete.
  • the listing does not meet TEL’s quality, legal or compliance standards.
  • the proposed budget is significantly below reasonable market expectations; or

  • the remuneration does not appropriately reflect the work, time commitment, deliverables or professional expertise required.

Projects that do not meet these requirements may not be published, or may be removed or suspended, until the requested amendments have been made.

Records

The Organisation agrees to maintain accurate records relating to its activities on the Platform for a minimum of six years, or such longer period as required by applicable law or regulation.

Insurance (Organisation)

The Organisation confirms that it maintains appropriate insurance relevant to its activities, including where appropriate product liability insurance.

Indemnity (Organisation)

The Organisation agrees to indemnify TEL against claims arising from its products, regulatory breaches, intellectual property infringement, failure to comply with applicable law, or any claim brought by a User or Participant arising from the Organisation’s conduct or breach of these Terms.
